1. Profile
o Chartered Secretary (CIS) or similar;
o Minimum of 3 years experience in a similar role within a listed entity;
o Excellent English communications skills (written & verbal);
o Excellent organisational skills;
o Honesty, integrity and discretion;
o Meticulous attention to detail;
o Computer literacy skills (Microsoft);
o Able to work under pressure and meet strict deadlines;
o Able to work additional hours if required;
o Be presentable and proven ability to liaise with senior executives and directors;
o Able to work in a team but at same time must have initiative to just get on make the job happen; and
o Must be happy to work in an open plan environment.
2. Main functions
o Draft resolutions;
o Regulatory and governance compliance;
o Minute taking at senior level;
o Deal with shareholder queries and liaison with transfer secretaries;
o Custodian of the Group’s share scrip and major agreements;
o Maintain intellectual property portfolio register;
o Maintain central property register;
o Liaison with attorneys where appropriate;
o Assist with share scheme administration;
o Assist the Group Secretary with corporate governance and adoption of best practice;
o Contribute to the preparation of the annual report and other results announcements;
o Provide guidance and assistance to other members of the secretarial team;
o Management of statutory administration;
o Liaison with external auditors in respect of the statutory audit, where necessary;
o Assist with complying of board packs, when necessary; and
o Be prepared to get involved and deal with all aspects, including administration issues to meet deadlines.
